A. Eligibility

This Sweepstakes is open only to individuals who are legal residents and physically located in one (1) of the following states/jurisdictions of residence at the date and time of entry:

• The fifty (50) states of the United States of America and the District of Columbia.

B. Age Limit

This Sweepstakes is open only to individuals 18 years of age or older at the date and time of entry.

C. Sweepstakes Entry Period

You may enter the Sweepstakes between 12:00 PM PST on 29th November 2024 and 12:00 PM PST on 6th January 2025 ("Entry Period").

D. Limit of Entries

Limit of 5,000 entries per person (regardless of method) will be accepted during the Entry Period.

E. Winner Selection Date

The Sponsor shall select ONE (1) winner through a random drawing from among all eligible entries on or about 6th January 2024.

F. Winner Notification Date

Winner will be notified on or about 6th January 2024.

G. Prize

Sponsor will award ONE (1) prize. The winner shall receive the following prize:

A luxury getaway for two (2) to Six Senses Uluwatu, valued at $10,000 or $10,000 USD in cash.

Reference to third parties in connection with prizes is for reference and identification purposes only and not intended to suggest endorsement, sponsorship, or affiliation with Sponsor or the Sweepstakes.

H. Master Official Rules

Participation in this Sweepstakes is subject to your review and agreement to the Master Official Rules ("Master Rules"), available at vexivo.store. For details on the alternate method of entry, see Master Rules.

By entering the Sweepstakes, you agree to be bound and abide by the above-stated rules and the Master Rules, and you represent that you satisfy all eligibility requirements to enter the Sweepstakes.

• ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION, AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

Introduction:

Any individual who enters, attempts to enter, or in any way participates or attempts to participate in any sweepstakes (each, a “Sweepstakes”) conducted by Vexivo (hereinafter referred to as the “Sponsor”) agrees to be bound by the terms and conditions provided in these Master Official Sweepstakes Rules (“Master Rules”), as well as by Sponsor’s interpretations of these Master Rules, which are final and binding in all matters relating to any Sweepstakes. Sweepstakes will have specific details developed for them that will be posted on the website (identified below) (“Specific Rules”). In the event there is a discrepancy or inconsistency between these Master Rules and the Specific Rules, the Specific Rules shall govern and control.

Eligibility:

Unless otherwise set forth in the Specific Rules, Sweepstakes are open only to individuals who, as of the date/time of entry, are legal residents and physically located in one (1) of the fifty (50) United States, the District of Columbia, or Puerto Rico, and who are at least eighteen (18) years of age or older. Please note that individuals who are legal United States residents but are physically located outside the United States are not eligible to enter or participate in the Sweepstakes.

Employees of Sponsor and each of Sponsor’s parent companies, affiliated companies, subsidiaries, and advertising and promotional agencies, and prize providers (collectively with Sponsor, the “Sweepstakes Parties”), their immediate family members and those living in the same household as such individuals (whether legally related or not), are not eligible to participate in the Sweepstakes or to win a prize. The term “immediate family members” includes spouses, parents, grandparents, siblings, children, wards, grandchildren, and in-laws, regardless of where they live, and “those living in the same household” shall mean people who share the same residence at least three (3) months a year, whether legally related or not.

Sweepstakes Period / Prizing Time Periods:

The Sweepstakes begins at a date/time specified by Sponsor in the Specific Rules, and all entries must be received by a date/time specified by Sponsor in the Specific Rules or in these Master Rules (the “Sweepstakes Period”). Sponsor’s designated clock will be the official timekeeper for the Sweepstakes.

How to Enter:

Sweepstakes entries may only be submitted as advertised or otherwise prescribed by Sponsor for the Sweepstakes in any Sweepstakes-related communication. Generally, the methods of entry will consist of one (1) or more of the following (but may include others not specifically described below): online purchase method entry and mail-in entry.

Purchase Eligible Product Method of Entry:

Sweepstakes entries may only be submitted as advertised or otherwise prescribed by Sponsor for the Sweepstakes in any Sweepstakes-related communication. Generally, the methods of entry will consist of one (1) or more of the following (but may include others not specifically described below): online purchase method entry and email subscription entry.

Email Subscription Method of Entry:

To enter the Sweepstakes without purchasing an Eligible Product, individuals can subscribe to our email list during the Entry Period. Simply visit Vexivo.store and provide your full name and a valid email address in the designated subscription form. By completing the subscription process, you will automatically receive one (1) entry into the Sweepstakes.

No purchase is necessary, and each email address is limited to one (1) entry during the Entry Period. Duplicate entries from the same email address will be disqualified.

Mail-in entries must be postmarked no later than the last date of the Sweepstakes Period and received no later than three (3) business days after the end date of the Sweepstakes Period to be eligible for the drawing. All mailed entries become the property of Sponsor and will not be returned or acknowledged.

Winner Selection and Odds:

Prize winner(s) will be selected per the criteria announced for this Sweepstakes in the Specific Rules. The potential winner(s) will be selected through a random drawing on or about a date specified by Sponsor in connection with the advertising for the Sweepstakes or in the Specific Rules, from all eligible entries received in accordance with these Master Rules.

Sponsor will have complete discretion over interpretation of the Master Rules, administration of the Sweepstakes, and selection of the winner(s). Decisions of the Sponsor as to the selection of the winner(s) will be final.

Prize Description:

Each winner will receive prize(s) as announced in the Specific Rules or in any Sweepstakes-related communication by Sponsor. Prizes are non-transferable, with no cash redemptions, equivalents, or substitutions except at Sponsor’s sole and absolute discretion.

Winner Notification and Acceptance:

The potential winner(s) will be notified using the information provided during entry by any of email, telephone, mail, a post on the potentially winning entry, or through a direct message on a social media platform (method to be selected by Sponsor in its sole discretion) within a commercially reasonable time after the drawing.

Publicity:

Subject to applicable law, each winner irrevocably grants to the Sweepstakes Parties, and each of their licensees, and its and their successors, assigns, and sub-licensees, the right and permission to use the winner’s name, voice, likeness, and/or biographical material for advertising, promotional, and/or publicity purposes in connection with the Sweepstakes, in all forms of media, worldwide, in perpetuity, without any obligation, notice, or consideration, except for the awarding of the prize(s).

Use of Entry Information and Sweepstakes Communications:

As a condition of entering the Sweepstakes, each entrant gives consent for Sponsor to obtain and deliver the entrant’s name, address, and other information to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws and regulations.

Waivers, Disclaimers, and Releases:

BY PARTICIPATING IN THE SWEEPSTAKES, EACH PARTICIPANT AGREES TO FULLY RELEASE, FOREVER DISCHARGE, AND HOLD HARMLESS VEXIVO AND ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIMS, COSTS, LIABILITIES, LOSSES, INJURIES, AND DAMAGES ARISING OUT OF THE SWEEPSTAKES. THIS INCLUDES BUT IS NOT LIMITED TO CLAIMS FOR PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, LOSS OF ENJOYMENT, OR ANY OTHER HARM ARISING OUT OF: (A) THE ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES; (B) THE QUALITY, RECEIPT, POSSESSION, USE, OR MISUSE OF ANY PRIZE (INCLUDING, WITHOUT LIMITATION, LOSSES, DAMAGES, OR INJURIES TO ENTRANT’S OR ANY OTHER PERSON’S EQUIPMENT OR PROPERTY, OR TO THEIR PERSONS, INCLUDING THOSE ARISING FROM TRAVEL TO/FROM ANY PRIZE EVENT OR ACTIVITY); (C) ANY TRAVEL OR ACTIVITY RELATED TO THE SWEEPSTAKES OR ANY PRIZE; (D) ANY VIOLATION BY THE RELEASED PARTIES OF RIGHTS OF PUBLICITY OR PRIVACY, DEFAMATION CLAIMS, OR FALSE LIGHT CLAIMS, OR BASED ON INFRINGEMENT OF INTELLECTUAL PROPERTY; AND (E) TYPOGRAPHICAL, HUMAN, OR OTHER ERRORS IN THE PRINTING, OFFERING, SELECTION, OPERATION, OR ANNOUNCEMENT OF THE SWEEPSTAKES OR PRIZE.

Entrants further agree that the Released Parties are not responsible or liable for any warranty, representation, or guarantee, express or implied, in connection with the Sweepstakes or any prize. Entrants agree the Released Parties shall not be liable for: (i) discontinued prizes; (ii) human error; (iii) incorrect or inaccurate transcription of entry information; (iv) technical malfunctions of phone networks, computer systems, or Internet service providers; (v) damage to participant’s (or third party’s) computer systems from participation; or (vi) any lost/delayed transmissions, interruptions, or other errors caused by any negligence. Entrants agree to indemnify and hold harmless the Released Parties from any liability arising from the Sweepstakes and release all claims against the Released Parties for any reason.

Governing Law / Limitations of Liability:

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE RULES, OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS AND VEXIVO IN CONNECTION WITH THE SWEEPSTAKES, SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAW PRINCIPLES.

BY ENTERING THE SWEEPSTAKES, PARTICIPANTS AGREE THAT TO THE EXTENT PERMITTED BY LAW:
(A) ALL DISPUTES WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO CLASS ACTIONS;
(B) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY OUT-OF-POCKET COSTS, NOT TO EXCEED TEN DOLLARS ($10.00), AND ATTORNEYS’ FEES WILL NOT BE AWARDED OR RECOVERABLE; AND
(C) UNDER NO CIRCUMSTANCES WILL PARTICIPANTS BE ENTITLED TO CLAIM PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOST PROFITS, OR MULTIPLIED DAMAGES.

Dispute Resolution:

All disputes arising out of the Sweepstakes shall be resolved exclusively through binding arbitration. The arbitration shall be conducted in California and administered by JAMS Inc. (“JAMS”) under its streamlined arbitration rules. No class actions or consolidation of claims will be permitted. Sponsor will cover administrative and arbitrator fees but not personal travel expenses. If this provision is deemed unenforceable, disputes must be brought in a court of competent jurisdiction.

Miscellaneous:

The invalidity or unenforceability of any provision shall not affect the validity of the remaining provisions. Any discrepancy between promotional materials and these official rules shall be resolved by Vexivo in its sole discretion. Headings are for convenience only and do not affect interpretation.
